1. About these terms

These terms ("Terms") govern your use of scene.io and the services provided by Scene Technologies Ltd ("Scene", "we", "us"), including our website, apps and content engine (together, the "Service").

By creating an account, or by continuing to use the Service after these Terms are shown to you, you accept them. If you use Scene for an organisation, you accept them for that organisation and confirm that you have authority to do so.

Scene Technologies Ltd is registered in England and Wales (company number 15093585) at 11 Charlotte Place, London, England, W1T 1SJ.

2. Your account

• Keep your sign-in details confidential, and tell us straight away if you think someone else has used them. You are responsible for activity in your account.
• If you invite others into your workspace, make sure they follow these Terms.
• We may suspend or close an account that breaks these Terms or puts the Service or other users at risk. Where reasonable, we will tell you first.

3. Your content

• You keep all rights to the content you upload, connect or create in Scene. That includes websites, documents, call notes, recordings, brand assets and decks ("Content").
• You give us a licence to host, process and display your Content only to provide the Service to you.
• We do not use your Content to train AI models.
• You must have the rights to the Content you use, and it must not infringe anyone else's rights.

4. Data protection

• For Content your organisation puts into Scene, your organisation is the controller and Scene is the processor. We process that Content only on your instructions.
• Our data processing agreement forms part of these Terms. You can ask for a signed copy at support@scene.io.
• For your account, billing and product analytics, Scene is the controller. Our Privacy policy explains how we handle that data.
• Our providers are listed on our service providers page.

5. Recording, voice and published pages

Meeting recording. Before you record a meeting with Scene's notetaker, you must:

• tell everyone on the call that it is being recorded;
• get any consent that applies law requires.

Personal voice. You may only record and upload your own voice. Do not record, upload or imitate anyone else's voice.

Published pages. You are responsible for any analytics, tracking or advertising code you add to pages you publish with Scene. That includes getting your visitors' consent where the law requires it.

6. AI output

Scene uses AI to write stories, decks and narration. AI output can be inaccurate, incomplete or out of date. Review it before you publish or send it. You are responsible for what you share. Output does not contain advice, and you should not rely on it as such.

7. Acceptable use

You must not:

• use Content you do not have rights to;
• use the Service to create misleading, unlawful, defamatory or infringing material;
• try to gain unauthorised access to the Service, or attack it with malware or denial-of-service attacks;
• reverse engineer the Service, or resell it without our permission;
• use it in a way that breaks the law, including the Computer Misuse Act 1990.

We may report serious misuse to the relevant authorities.

8. Fees

Some parts of the Service require a paid plan or credits. Prices, billing cycles and cancellation terms are shown when you buy. Unless stated otherwise, fees are non-refundable, except where the law requires a refund.

9. Intellectual property

All rights in the Service, our software, design and brand belong to us or our licensors. These Terms do not give you any rights in them beyond using the Service as described here.

10. Availability and changes to the Service

We work to keep Scene available and up to date, but we do not promise it will be uninterrupted or error-free. We may change or remove features. If we stop a paid feature you rely on, we will give you reasonable notice.

11. Liability

• Nothing in these Terms limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit.
• Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill.
• Our total liability in any 12 months is limited to the fees you paid us in that period.
• We exclude, as far as the law allows, all terms and warranties implied by law.

12. Links to other sites

Links to other websites are for information only. We do not control those sites and are not responsible for them.

13. Changes to these terms

If we make a material change to these Terms, we will email account holders at least 30 days before it takes effect. If you do not agree, you can stop using the Service and close your account before then. Minor changes, such as corrections, take effect when we publish them.

14. Law and disputes

• These Terms, and any dispute about them, are governed by the law of England and Wales.
• We will first try to settle any dispute in good faith.
• If that fails, either of us can propose mediation before going to court.
• The courts of England and Wales have exclusive jurisdiction.
